{"message":"Proposal Title:\nVST IP Creation Authorization and RFP Portal\n\nPurpose:\nTo authorize the Vaulta Stewardship Trust (“VST”) and Vaulta Stewardship LLC (“VS LLC”) to create, hold, and administer new public-facing network assets while the Vaulta Foundation transition remains pending, including domains, communication accounts, repositories, documentation sites, and related assets.\n\nTo authorize temporary, limited operational access to such assets for Vaulta/EOS Labs solely for development, maintenance, and public communications support, subject to VST ownership, role-based access controls, and revocation rights and apply for patents as reasonably needed.\n\nTo authorize VST/VS LLC to establish a working group to develop a proposed Request for Proposal (“RFP”) framework and portal for later approval by the active block producers.\n\nDefinitions:\nFor purposes of this MSIG, “New Network Assets” means any domains, social media accounts, communication accounts, websites, repositories, wikis, documentation sites, RFP portals, software, content, designs, brand materials, credentials, accounts, or other public-facing or operational assets created, acquired, or administered by VST or VS LLC pursuant to this MSIG.\n\nResolved Clauses:\n\nRESOLVED, that the active block producers authorize VST and VS LLC to create, acquire, configure, and administer New Network Assets reasonably necessary to re-establish and maintain the Vaulta Network’s public identity while the Vaulta Foundation transition progresses, including social media and communication accounts, domains, a placeholder website, repositories, wikis, documentation sites, and related operational accounts.\n\nFURTHER RESOLVED, that any New Network Assets created, acquired, or administered pursuant to this MSIG shall be recognized as official Vaulta Network stewardship assets and shall be owned by VST, unless expressly designated otherwise by a subsequent valid MSIG Resolution. VS LLC may administer such assets operationally on behalf of VST, but administrative control shall not constitute ownership.\n\nFURTHER RESOLVED, that any expenditures incurred in connection with creation, acquisition, configuration, or administration of New Network Assets remain subject to the Trust Agreement, VS LLC Operating Agreement, MSIG-approved budgets or allocations, and applicable financial controls.\n\nFURTHER RESOLVED, that VST and VS LLC are authorized to provide Vaulta/EOS Labs temporary, role-based operational access to New Network Assets for a period of three (3) months beginning on the date such access is granted, solely for development, maintenance, communications support, and related operational purposes approved by VST or VS LLC.\n\nFURTHER RESOLVED, that such access shall be non-exclusive, non-transferable, revocable, and shall not convey ownership, beneficial interest, or control rights in any New Network Asset. VST shall retain owner or super-admin status where technically available, and VS LLC may administer access through the LLC Manager or other authorized personnel.\n\nFURTHER RESOLVED, that before providing access to any New Network Asset, VST or VS LLC shall implement reasonable access controls, including role-based permissions, secure credential management, removal of unnecessary legacy access, and reasonable logging or documentation of admin-level access where available.\n\nFURTHER RESOLVED, that any extension of Vaulta/EOS Labs access beyond the initial three-month period shall require either a subsequent MSIG Resolution or written approval consistent with the Trust Agreement and VS LLC Operating Agreement.\n\nFURTHER RESOLVED, that VST and VS LLC are authorized to assist with factual, operational, and process-related public communications concerning the Vaulta Network, New Network Assets, RFP processes, documentation, and transition-related matters. Nothing in this MSIG authorizes VST or VS LLC to make statements regarding token price, investment value, or speculative economic expectations.\n\nRESOLVED, that the active block producers authorize VST and VS LLC to create a working group to develop a proposed Request for Proposal framework and portal (the “RFP Framework”) for the purpose of soliciting, organizing, and evaluating proposals for potential network-related services, including infrastructure, development, marketing, education, community engagement, advocacy, and incubation-related initiatives.\n\nFURTHER RESOLVED, that the working group shall have no authority to award funds, bind VST or VS LLC, select vendors, approve grants, create payment obligations, or enter into contracts unless separately authorized by a valid MSIG Resolution or expressly permitted under the Trust Agreement and VS LLC Operating Agreement.\n\nFURTHER RESOLVED, that the final RFP Framework, including any rules for eligibility, evaluation, conflicts, records, proposal intake, award recommendations, and funding mechanics, shall require approval by at least fifteen (15) of twenty-one (21) active block producers before implementation.\n\nFURTHER RESOLVED, that following approval of the final RFP Framework by the required MSIG threshold, VST and VS LLC are authorized to maintain and administer the RFP portal consistent with the approved framework, the Trust Agreement, the VS LLC Operating Agreement, and applicable data, confidentiality, and recordkeeping controls."}
